1. Agreement to terms
By accessing or using Helmpoint (“the Platform”), operated by Moon Rice Limited (registered in England and Wales, trading as Helmpoint), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform.
These Terms apply to all users including campaign clients, advocates, and visitors. Where specific provisions apply only to a particular category of user, this is indicated.
2. Description of the platform
Helmpoint is a narrative intelligence platform that connects campaign clients (organisations seeking to advance positions on policy, public affairs, or other topics) with advocates (verified professionals who are compensated for sharing content aligned with their authentic views). The Platform uses AI to match campaigns to advocates and to assist in content generation.
3. Eligibility
You must be at least 18 years of age to use the Platform. By using the Platform you represent that you meet this requirement. Campaign clients must be duly authorised representatives of the organisation on whose behalf they are engaging the Platform.
4. Advocate terms
Authentic alignment. Advocates may only participate in campaigns where their prior posting history demonstrates genuine alignment with the campaign position. Participating in a campaign for a position you do not authentically hold is a breach of these Terms and grounds for immediate account termination.
FTC and regulatory disclosure.All compensated posts must include the disclosure language provided by the Platform. Posting campaign content without required disclosure is a breach of these Terms and may constitute a violation of applicable law. Helmpoint will not be liable for regulatory consequences arising from an advocate's failure to include required disclosures.
Editorial control. Advocates retain full editorial control over what they post. AI-generated post options are suggestions only. You are solely responsible for any content you publish.
Earnings. Earnings are calculated based on reach and engagement metrics as described in the Platform documentation. Helmpoint reserves the right to adjust the earnings methodology with reasonable notice. Earnings will be paid to the payment method you designate, subject to minimum payout thresholds.
5. Campaign client terms
Factual accuracy. Campaign clients warrant that the core factual claims their campaign is designed to advance are accurate to the best of their knowledge. Helmpoint reserves the right to decline or terminate any campaign it determines is built on demonstrably false factual claims.
Prohibited content. Campaign clients may not use the Platform to advance narratives designed to harass individuals, incite violence, spread demonstrably false information, or otherwise violate applicable law.
No individual targeting. The Platform is designed to address argument clusters, not individuals. Campaign clients may not attempt to use the Platform to direct coordinated engagement at specific individuals. Any such use is grounds for immediate account termination.
Payment. Campaign clients agree to the pricing and payment terms agreed at the time of campaign setup. All fees are exclusive of applicable taxes.
6. Prohibited conduct (all users)
You agree not to:
- —Use the Platform for any unlawful purpose or in violation of these Terms
- —Attempt to circumvent the Platform's matching or verification systems
- —Submit false information to the Platform
- —Access or attempt to access other users' accounts
- —Scrape, reverse engineer, or reproduce the Platform's technology or data
- —Use the Platform to harass, threaten, or harm any individual
7. Intellectual property
The Platform, including its software, AI systems, design, and documentation, is the intellectual property of Moon Rice Limited. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose. You may not reproduce, distribute, or create derivative works from any part of the Platform.
Content you post through the Platform remains your property. By posting through the Platform, you grant Helmpoint a limited licence to reference that content for the purposes of matching, analytics, and platform improvement.
8. Disclaimers and limitation of liability
The Platform is provided “as is” without warranties of any kind, express or implied. Helmpoint does not warrant that the Platform will be uninterrupted, error-free, or achieve any particular outcome for any campaign.
To the maximum extent permitted by applicable law, Helmpoint's total liability to you for any claim arising from your use of the Platform shall not exceed the amounts paid by you to Helmpoint in the three months preceding the claim. Helmpoint shall not be liable for any indirect, consequential, or punitive damages.
9. Termination
Helmpoint reserves the right to suspend or terminate any account at any time for breach of these Terms, for conduct that harms the Platform or its users, or for any reason with reasonable notice. You may terminate your account at any time by contacting info@helmpoint.ai.
10. Governing law
These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to these terms
Helmpoint may update these Terms from time to time. Material changes will be communicated to registered users by email with reasonable notice before they take effect. Continued use of the Platform after changes take effect constitutes acceptance.
